These terms and conditions ("Terms") govern your access to and use of our online Platform connecting intended parents ("Intended Parents"), surrogates ("Surrogates"), and surrogacy specialists ("Specialists" ) (collectively referred to as "Users") through the FindSurrogate.com platform ("Platform"), operated by or made available by FindSurrogate.com or its affiliates ("FindSurrogate" or "we" or "us" or "our").

Before using our Platform, please carefully read these Terms. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms. The FindSurrogate Privacy Policy, an integral part of these Terms, outlines the collection, use, transmission, and disclosure of personal information and data. By agreeing to these Terms, you also confirm your understanding of the Privacy Policy.

Please note that certain sections and provisions of these Terms may apply only to specific Users. For instance, payment terms outlined in Section 8 are relevant to Users who choose premium memberships. Unless explicitly stated otherwise, all Terms apply to all Users, including one-time visitors. If you disagree with these Terms, kindly refrain from accessing or using the Platform. We reserve the right to update and modify these Terms, and your continued use of the Platform implies acceptance of any modifications.

1. About FindSurrogate.com

FindSurrogate.com serves as a platform facilitating connections among Intended Parents, Surrogates, and Specialists. It is crucial to understand that FindSurrogate does not provide surrogacy matching services. Our primary goal is to facilitate the journey toward parenthood by offering a platform for Users. FindSurrogate is not a party to any relationships formed among Users. Information on the Platform is uploaded by Users and is subject to certain limits and restrictions under these Terms. While we aim to ensure compliance, we do not guarantee the accuracy or completeness of uploaded information.

2. No Medical or Legal Advice

Information shared on the Platform is not a substitute for professional medical or legal advice and should be used with discretion. Findsurrogate does not endorse specific surrogates, intended parents, agencies, or medical procedures. Users are strongly advised to consult with a medical or legal professional before entering any agreements found on the Platform.

3. Account Registration

To access the Platform, you must create an individual user account ("Account") by providing accurate and complete information during registration. You are solely responsible for safeguarding your Account information. Users must certify that they are over eighteen (18) years old, have the legal ability to use the Platform, and are physically located in the chosen state or country. Fertility Agencies and Clinics must further represent their authority and compliance with these Terms.

4. Restrictions on Use

Users agree to use the Platform for legitimate purposes as expressly permitted by these Terms. Prohibited activities include:

Unauthorized use.
Transmission of harmful content.
Interference with the Platform's operation.
Violation of intellectual property rights.

FindSurrogate reserves the right to seek damages for any prohibited acts

5. License You Provide to FindSurrogate.com

To use the Platform, Users grant FindSurrogate a worldwide, perpetual, non-exclusive license to use and display User Content for providing the Services. Intended Parents and Surrogates understand their information may be visible to all Platform visitors. Fertility Agencies grant a license for the use of their Database.

6. Users Submissions

Users may provide feedback or comments on the Platform. Such feedback is considered non-confidential, and FindSurrogate may use it for non-commercial or commercial purposes.

7. Payment Terms

Users opting for premium memberships agree to pay subscription fees described in the chosen plan. By selecting a premium membership plan, you agree to the following payment terms:

Subscription Fees: The Platform offers monthly, quarterly, and yearly premium membership plans, each with a corresponding subscription fee. Users will be billed at the beginning of each commitment period.
Automatic Renewal: Subscriptions are set to automatically renew unless canceled three (3) days before the end of the current subscription period.
Cancellation: If you want to terminate your subscription and avoid future charges, you should cancel the Subscription before the renewal date.
Non-Refundable Fees: All subscription fees and related charges are non-refundable. Once billed, fees are not subject to refund, in whole or in part, even if the subscription is canceled before the end of the commitment period.
No Proration: FindSurrogate does not offer prorated refunds for unused portions of a subscription period. Suppose you cancel your subscription before the end of the commitment period. In that case, you will continue to have access to premium features until the end of the subscription period for which you have already been billed.
Payment Methods: Users must provide accurate and complete payment information. Failure to do so may result in the suspension or termination of premium membership access.
Changes to Fees: FindSurrogate reserves the right to change subscription fees, or to institute new fees or charges, at any time upon reasonable notice. Such changes will be effective upon posting on the Platform.

8. FindSurrogate Content

The Platform includes content owned by FindSurrogate. Users may use such content as these Terms allow, but altering, obscuring, or removing any FindSurrogate Content is prohibited.

9. Intellectual Property

The Platform, Services, and FindSurrogate Content are protected by intellectual property laws. Users are prohibited from modifying, reproducing, or exploiting the Platform or its content without prior written consent from FindSurrogate.

10. Third Party Websites

The Platform may contain links to third-party websites. FindSurrogate is not responsible for the content, legality, or accuracy of such sites and recommends that Users review the terms of use and privacy policies of linked sites.

11. Disruption to the Platform

While we strive for reliability, FindSurrogate is not responsible for disruptions, delays, or failures in performance due to events beyond our control.

12. Privacy

FindSurrogate's privacy practices are detailed in our Privacy Policy, accessible at Privacy Policy. The Privacy Policy applies exclusively to personal information collected by FindSurrogate.

13. Notice and Takedown

To report content violating intellectual property rights, right to privacy, or legality, please email detailed complaints to privacy@findsurrogate.com. FindSurrogate will make reasonable efforts to remove such content.

14. Disclaimers of Warranties

The Platform is provided "as is," and Users agree that usage is at their sole risk. FindSurrogate disclaims all warranties and is not liable for any direct or indirect damages. FindSurrogate does not control relationships formed among Users and disclaims responsibility for their legality or compliance.

15. Indemnification

Users agree to indemnify and hold FindSurrogate harmless from any loss, cost, damage, liability, or expense arising from a breach of these Terms by the User

16. Limitations of Liability

FindSurrogate.com and its owners or employees shall not be liable for any damages, claims, or losses whatsoever arising out of the use, inability to use, or the results of the use of this Platform, or sites linked to this Platform, or the materials or information contained on the Platform, whether those damages, claims, or losses are based on warranty, contract, tort, or any other legal theory.

17. Termination

FindSurrogate.com retains the right to terminate the access of any user found in violation of these Terms without prior notice at its sole discretion. By accessing the Platform, the User acknowledges and agrees that FindSurrogate.com may, at any time and without liability, terminate their access, close the Platform, or modify any aspect of it.

18. General

Effect of Headings: Headings are for convenience and do not affect the interpretation.
Entire Agreement; Waiver: These Terms constitute the entire agreement and cannot be waived unless in writing.
Governing Law: Delaware law governs interpretation, construction, and enforcement of these Terms. Disputes are resolved individually, with the prevailing party entitled to attorney fees.
Waiver of Jury Trial and Class Action: Parties waive jury trials and agree to individual litigation, excluding class actions.
Severability: If any provision is invalid, the remainder remains in force.
Assignment: These Terms are not assignable by Users.
Modification of Terms: FindSurrogate reserves the right to update these Terms, with amendments effective immediately upon notice.
